Dear FHSTOP members:

The current status regarding the issues pertaining to the Fairfield Harbour Board of Directors is that four Board members were properly removed during the recent special meeting called for that purpose. The vote was 781 votes for removal and 712 votes against removal. The group that purports to be the current Board (including the four members that were removed) (“purported Board”) contend that the vote for removal did not pass because of the allegation that a 67% affirmative vote is required as per the purported current Bylaws.

Dear Fellow Fairfield Harbour Property Owners,

Your Property Owner’s Association Board of Directors’ leadership has taken it upon themselves to spend your hard-earned money without your vote of approval. That is what started it all. The membership removed 2 top leadership board members in the first board removal and purports 4 more board members removed that supported a $10 million (principal and interest) club house without a membership vote in the second removal. The membership can now act as documents show a path to victory. The board proposed an amendment to our bylaws to raise the voting passage point from 50%+1 to 67%. No notice of the amendment was given nor any language of the amendment or date and time of the meeting. 55A-10-20 is a North Carolina Statute that regulates Non-profit Corporations, which the FHPOA is required to follow. All documents published by the POA shows that they are in noncompliance.

                                                                     Explaination of Carmichael Letter


We would first like to thank you for your continued support, without it we wouldn't have been able to accomplish what we have done to date. For the past three weeks our attorney has been preparing our case regarding the Second Removal Vote. We were advised by our attorney not to make public what course of action he was planning to take. These steps are now complete, and we can provide you with a more detailed update.

                                                                           Vote to Remove all 4 on the Ballot


On Thursday September 12 th the POA Noticed the REMOVAL MEETING. This is not an election but
a removal vote meeting. Just like the last time the membership removed 2. Now we are removing 4
directors (or their replacements) who voted to approve the club house building and funding without
your input. Please check your emails and spam and junk folders as your ballots may be in there. If
you don’t have email with the POA the paper ballot should be in your US mail by the 16 th . If you don’t
receive a ballot, CALL THE POA OFFICE to get one. Please remember to vote to remove the 4
board members or their replacements. The POA may not want you to vote on their projects,
but we do! The special meeting results will be announced at the Point on September 27 th at 11:30
am.

                                                   They pledged our dues for the Clubhouse loan

After two failed votes, five Board members have unilaterally decided to impose a $10 million Club House project on our community—an expense that includes interest and contingencies. This building is not located on common property, meaning the Board could potentially sell it without our consent.

In a troubling move to safeguard their positions, these Board members have amended our bylaws to make it significantly more difficult to remove them. While it's still possible to remove Board members, the process has become much harder. This overreach has put our finances—and potentially our homes—at risk.

At a recent contentious meeting, the Board revealed they had pledged our dues as collateral for a $6.5 million loan. Despite overwhelming opposition from residents who clearly stated "Let Us Vote," the Board proceeded with their plans. Additionally, the Board increased our dues by $322, falsely branding it as “FULLY FUNDED” to cover the loan payments.....

                                                                Changing the Rules to stay in Power

In a Bold move after receiving two defeats in a row by membership votes. Five (5) of your Board members voted behind closed doors, in as little as 36 hours after the election to sign papers to move forward to Build the multi-million-dollar Club House. No meetings or vote by the Community was allowed.

This was a pure show of contempt for the membership. We would like to tell you that a $6.5 million dollar loan for 15 years at 6.6% interest cost us $56,980. per month. The interest alone will be $3,756,385. The total cost not including maintenance and operations is $10,256,385. The 5 have thrown this community into turmoil by their actions....
